Komax acquires Schleuniger from Metall Zug
Dierikon/Zug/Thun – The Metall Zug Group plans to bring the cable processing and testing specialist Schleuniger Group into the technology company Komax based in the canton of Lucerne. In return, Metall Zug is to receive a 25-percent share of Komax.
The Metall Zug Group will combine its wire processing division, the Schleuniger Group based in Thun in the canton of Bern, with Komax Holding AG. According to a press release, Metall Zug is to receive a 25-percent share of Komax in return for this quasi-merger.
Metall Zug and Komax, which specializes in systems and mechanical engineering, anticipate that this transaction will provide the required financial and staff resources as well as the risk capacity to be able to exploit the opportunities currently arising in the cable processing industry as well as in digitization, autonomous driving, and electromobility. Metall Zug has confirmed its intention to hold the share in Komax over the long term.
Komax, with headquarters in Dierikon, plans to issue new shares for this transaction within the context of a capital increase and assign these to Metall Zug in exchange for shares in Schleuniger AG. The general meeting of Komax still needs to agree to the corresponding proposals. The merger is anticipated to be completed in the third quarter of 2022. Additionally, the current president of the administrative board at Schleuniger, Jürg Werner, is expected to be selected as the representative of Metall Zug on the administrative board of Komax AG.
Since 2019, Metall Zug has been pursuing the strategy of becoming a holding company with substantial shares in attractive Swiss industrial companies. In its first step, Metall Zug created the household appliance spin-off V-Zug and listed it independently on the Swiss Exchange. Since then, Metall Zug has held a 30-percent share in V-Zug.
